TERMS & CONDITIONS

These Terms & Conditions apply to bookings and services provided by Salt & Silk Collective (“Salt & Silk”, “we”, “us” or “our”).

By confirming a booking with us, paying a deposit or invoice, or otherwise instructing us to proceed after receiving or being directed to these Terms & Conditions, the client (“you” or “your”) agrees to these Terms & Conditions.

These Terms & Conditions should be read together with your individual quote, invoice and any written arrangements agreed between you and Salt & Silk Collective.

1. BOOKINGS & CONFIRMATION

Bookings may be confirmed in writing via email, text message, social media message or another written communication accepted by Salt & Silk Collective.

Where a deposit is required, your booking date is not secured until the required deposit has been received.

Our standard booking deposits are:

Weddings: $1,000
Elopements: $500
Events: $300
Grazing & catering: No deposit unless otherwise advised

Additional or different deposit arrangements may apply where specified in your individual quote.

Dates remain available to other clients until the applicable booking requirements have been completed.

2. DEPOSITS

Booking deposits reserve your event date and allow Salt & Silk Collective to commence planning, administration and preparation for your booking.

Where a client cancels due to a change of mind or circumstances on their part, the booking deposit is non-refundable to the extent permitted by law. The deposit reflects, among other things, administration and planning undertaken, reservation of the event date and the potential loss of other bookings for that date.

Any additional cancellation amounts will be determined in accordance with the cancellation provisions below.

Nothing in these Terms & Conditions excludes or limits rights or remedies that cannot lawfully be excluded under Australian Consumer Law.

3. FINAL PAYMENTS

Unless otherwise agreed in writing, final payment is due:

Weddings: 30 days before the event
Elopements: 30 days before the event
Events: 7 days before the event
Grazing & catering: 7 days before delivery or the event

Salt & Silk Collective may decline to proceed with a booking where payment has not been received by the applicable due date, subject to our obligations under Australian Consumer Law.

Any additional services, products or approved changes requested after final payment may be invoiced separately.

4. MINIMUM SPENDS

A minimum order of $100 applies to standard grazing and catering orders.

A minimum booking value of $300 applies to events unless otherwise agreed.

Different arrangements may apply to contracted corporate clients, venues, repeat commercial clients or other clients with whom Salt & Silk Collective has established separate written arrangements.

5. CLIENT CANCELLATIONS

All cancellations must be provided to Salt & Silk Collective in writing.

For weddings and elopements, the following cancellation terms apply where cancellation is initiated by the client due to a change of mind or circumstances on their part:

More than 90 days before the event:
The booking deposit will be retained. Any additional amounts paid will be refunded, less any reasonable, non-recoverable costs already incurred specifically in connection with the booking.

Between 31 and 90 days before the event:
The booking deposit will be retained together with any reasonable costs already incurred in planning, purchasing, ordering or otherwise preparing for the event. Any remaining amount paid above those amounts will be refunded.

30 days or less before the event:
The full booking amount becomes payable. This reflects the substantial planning and preparation undertaken by this stage, commitments made for the event and the reduced opportunity for Salt & Silk Collective to accept another booking for the reserved date.

Where Salt & Silk Collective is reasonably able to reduce its loss, including by securing another comparable booking for the cancelled date or recovering costs from a supplier, this will be taken into account when determining any amount retained.

Salt & Silk Collective will not retain cancellation amounts beyond its reasonable loss and costs where doing so would be contrary to applicable law.

For events, where cancellation occurs after the final payment due date, amounts paid may be retained to cover the booking deposit and Salt & Silk Collective’s reasonable loss and costs arising from the cancellation. Any remaining amount will be refunded where applicable.

For grazing and catering, cancellations made after ingredients, products or other supplies have been ordered or preparation has commenced may incur charges reflecting the reasonable costs already incurred.

These cancellation provisions do not apply where the client is entitled to cancel or receive a remedy because Salt & Silk Collective has failed to comply with a consumer guarantee or where another right or remedy applies under Australian Consumer Law.

6. RESCHEDULING & DATE CHANGES

Where possible, Salt & Silk Collective will work with clients who need to reschedule.

For standard events, at least 48 hours’ notice is required for a requested change of date. Rescheduling is subject to our availability and the availability of any required hire items, venues and third-party suppliers.

Wedding and elopement date changes will be considered individually due to the level of planning, supplier commitments and date availability involved.

We do not currently charge a standard rescheduling fee. However, additional costs already incurred as a result of the original date, or additional costs arising from the new date, may be payable by the client.

Any rescheduled booking is subject to our availability and cannot be guaranteed until the new date has been agreed in writing.

7. CHANGES TO BOOKINGS & STYLING

Final changes should generally be provided no later than:

Weddings and elopements: 30 days before the event
Events: 7 days before the event
Grazing & catering: 24 hours before the required delivery or event time

Significant styling or design changes should be requested at least 30 days before the event where possible, particularly where specific products or materials need to be ordered.

Changes requested after the applicable cutoff are subject to availability and may not be possible.

Significant redesigns or additional planning requested after a concept has been developed may incur additional charges based on the additional time required. Any additional charges will be communicated before the additional work proceeds.

8. GUEST NUMBERS

Final guest numbers are required:

Weddings and elopements: 30 days before the event
Events: 7 days before the event
Grazing & catering: at least 24 hours before delivery or the event

Once final guest numbers have been confirmed and invoiced, reductions in guest numbers do not reduce the agreed booking price.

Additional guests may be accommodated subject to availability and may incur additional charges.

9. WEATHER

Outdoor events are subject to weather conditions.

For smaller events, Salt & Silk Collective will make reasonable efforts to reschedule where poor weather makes the original arrangements unsuitable and rescheduling is practical.

For weddings, elopements and events that cannot reasonably be rescheduled, an appropriate wet-weather alternative should be arranged. Responsibility for arranging the wet-weather location will depend on who is responsible for the venue under the individual booking.

Wind does not automatically prevent an outdoor setup from proceeding. However, Salt & Silk Collective may alter elements of a setup where reasonably necessary for safety, practicality or to protect equipment.

This may include relocating the setup, removing or modifying chiffon or other draping, replacing open-flame candles with LED candles, modifying lightweight décor, or making other reasonable styling adjustments.

We will endeavour to preserve the overall aesthetic and intention of the agreed design wherever reasonably possible.

10. CYCLONES, EXTREME WEATHER & EVENTS OUTSIDE EITHER PARTY’S CONTROL

Circumstances outside the reasonable control of either party may include cyclones, severe weather, natural disasters, road closures, venue closures, government restrictions or other events that make performance unsafe, unlawful or reasonably impossible.

Where this occurs, Salt & Silk Collective will first make reasonable efforts to reschedule the booking to a mutually suitable date.

Where rescheduling is not reasonably possible, any credit, refund or other adjustment will be determined having regard to services already supplied, reasonable and non-recoverable costs already incurred, third-party commitments and the parties’ rights and obligations under Australian Consumer Law and other applicable law.

Where third-party costs have already been incurred and cannot reasonably be recovered, those costs may be deducted from any refund to the extent permitted by law.

11. HIRE ITEMS

All Salt & Silk Collective hire items remain the property of Salt & Silk Collective at all times.

The client is responsible for taking reasonable care of hire items from the time they are delivered, installed or collected until they are returned to or collected by Salt & Silk Collective.

The client may be charged the reasonable cost of cleaning, repairing or replacing items that are lost, stolen, damaged or excessively stained while in their care, except to the extent the loss or damage was caused by Salt & Silk Collective or where charging the client would otherwise be contrary to law.

Charges will reflect the reasonable cleaning, repair or replacement cost of the affected item.

12. CLIENT COLLECTION & RETURN OF HIRE ITEMS

Collection and return of hire items by clients may be permitted by prior agreement.

Collection and return times, locations and any special handling requirements will be agreed before collection.

Clients are responsible for appropriately transporting, storing and protecting hire items while they are in their possession.

Additional charges may apply for late returns, additional collection requirements, damage, loss or excessive cleaning where reasonable.

13. SETUP, PACK-DOWN & VENUE ACCESS

Setup, delivery and pack-down requirements vary depending on the location, booking and services selected and will be specified in your quote where applicable.

The client must ensure that Salt & Silk Collective has access to the venue or setup location at the agreed time unless access arrangements are being managed directly by us.

If access is delayed or we are required to wait because of circumstances outside our control, we will make reasonable efforts to complete the setup; however, we cannot guarantee the originally agreed completion time.

Additional waiting time or work outside the agreed scope may incur reasonable additional charges where these are communicated to and approved by the client.

14. DELIVERY & TRAVEL

Delivery, collection and travel fees vary according to location, travel time, booking requirements and setup/pack-down requirements.

Applicable charges will be included in your quote or otherwise communicated before confirmation.

15. FOOD ALLERGIES & DIETARY REQUIREMENTS

Clients must advise Salt & Silk Collective of known allergies and dietary requirements when booking and promptly notify us of any changes.

We will make reasonable efforts to accommodate dietary requirements and allergies that we have agreed to accommodate.

However, food is prepared in environments where common allergens are regularly handled. We cannot guarantee an allergen-free environment or the complete absence of cross-contact.

Clients with severe or life-threatening allergies should contact us before placing an order so that we can discuss whether the requested catering can safely and appropriately be provided.

16. FOOD SAFETY

Salt & Silk Collective handles, prepares and transports food in accordance with applicable food-safety requirements.

Our grazing products may spend time outside refrigeration during preparation, styling, transport and setup. We follow applicable food-safety requirements and time and temperature controls during this process.

Once catering has been delivered, set up and handed over, responsibility for appropriate storage, temperature control and service passes to the client or responsible venue.

Clients must ensure that food is consumed, refrigerated or discarded within appropriate food-safety timeframes. Where Salt & Silk Collective provides specific storage or consumption instructions, the client is responsible for following those instructions once the food has been handed over.

17. ALCOHOL

Salt & Silk Collective does not supply alcohol.

Where included in the agreed services, we may supply or style items such as glassware, bars, ice buckets and other beverage-service equipment.

Any alcohol is supplied by the client or another appropriately authorised provider.

The client and/or venue is responsible for ensuring alcohol is supplied, served and consumed in accordance with applicable laws and venue requirements.

18. FLORALS

Salt & Silk Collective primarily uses faux and real-touch florals.

Fresh floral elements may occasionally be incorporated where agreed and practical, including small fresh elements such as bud-vase flowers or baby’s breath.

Where full fresh floral arrangements are requested, these may be outsourced to a third-party florist and applicable third-party terms and costs may apply.

19. SUBSTITUTIONS

Occasionally an ingredient, floral variety, décor item, material or hire item may become unavailable or unsuitable due to availability, seasonality, supply issues, weather, safety requirements or circumstances outside our reasonable control.

Where reasonably necessary, Salt & Silk Collective may substitute an item with an alternative of a similar style, function, quality and value.

We will endeavour to maintain the agreed overall aesthetic and will consult the client before making any material change to the agreed service wherever reasonably practicable.

20. VENUE ARRANGEMENTS

Depending on the booking, venue arrangements may be made by either Salt & Silk Collective or the client.

Where the client is responsible for the venue, the client must ensure appropriate permission has been obtained for our services, equipment and setup and that suitable access is available.

Where Salt & Silk Collective has expressly agreed to arrange the venue as part of the booking, we will manage the arrangements included within the agreed scope.

All bookings remain subject to relevant venue rules, restrictions, weather requirements and access conditions.

21. CLIENT-SUPPLIED ITEMS

Salt & Silk Collective may agree to incorporate client-supplied décor, signage, favours, accessories or other items into a setup.

Additional charges may apply for collecting, assembling, preparing, transporting or installing these items and will be based on the additional work required.

Salt & Silk Collective carefully curates its own décor and hire items to create cohesive styling. We cannot guarantee that client-supplied products will match photographs supplied by their manufacturer or retailer, coordinate with our décor, be suitable for the intended setup or achieve the same overall aesthetic as Salt & Silk Collective products.

We will take reasonable care of client-supplied items while they are in our possession. However, we are not responsible for inherent defects, poor construction, inaccurate product representations or suitability issues associated with client-supplied products.

22. THIRD-PARTY SUPPLIERS

Salt & Silk Collective may assist with sourcing, recommending, coordinating or arranging third-party suppliers on a client’s behalf.

Where a third-party supplier is engaged directly by the client, that supplier is responsible for their own services and their own terms and conditions apply.

Where Salt & Silk Collective assists with coordinating an independent third-party supplier, we will take reasonable care in doing so but cannot guarantee matters outside our reasonable control, including that supplier’s workmanship, availability, delays or performance.

Where Salt & Silk Collective itself has contracted with the client to supply a particular service, this clause does not exclude or limit any responsibility Salt & Silk Collective has under Australian Consumer Law.

23. PHOTOGRAPHY & MARKETING

Salt & Silk Collective may photograph our styling, hire items, florals, catering and completed setups and use those images for our website, social media, portfolio and marketing.

Where photographs prominently identify clients or guests, Salt & Silk Collective will seek permission before intentionally using those identifiable images for promotional purposes.

Clients may advise us if there are particular privacy requirements associated with their event.

24. CHILDREN & PETS

Where children or pets are present, their supervision remains the responsibility of their parent, guardian, owner or responsible adult.

Our setups may contain furniture, décor, glassware, candles and other items that may be damaged or present a hazard if climbed on, pulled, knocked over or otherwise interfered with.

Clients are responsible for reasonable supervision after the setup has been handed over.

25. CANDLES & OPEN FLAMES

Open-flame candles may only be used where permitted by the venue, location and applicable safety requirements.

Where open flames are unsuitable due to venue requirements, weather or safety considerations, Salt & Silk Collective may substitute LED candles or another appropriate alternative.

Once our setup has been completed and handed over, responsibility for appropriately supervising any permitted open flames rests with the client and/or venue.

26. CONCERNS & COMPLAINTS

We take pride in our work and want clients to contact us promptly if something is not right.

Where possible, please notify Salt & Silk Collective of any concern within 3 days of the relevant event, delivery or service so that we can investigate and respond promptly.

This requested notification period does not limit any rights or remedies available under Australian Consumer Law.

27. AUSTRALIAN CONSUMER LAW

Nothing in these Terms & Conditions excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.

Where our goods or services fail to comply with an applicable consumer guarantee, the client may be entitled to a remedy depending on the circumstances and nature of the failure.

Consumer guarantees apply automatically and cannot simply be removed through business terms and conditions. 

28. ACCEPTANCE OF THESE TERMS

By confirming a booking in writing, paying a deposit or invoice, or instructing Salt & Silk Collective to proceed with services after receiving or being directed to these Terms & Conditions, you acknowledge and accept them.

Individual written quotes or agreements may contain additional terms specific to a booking.

Where an individually agreed written term varies these general Terms & Conditions, the individually agreed term will apply to that booking to the extent of the inconsistency, subject always to applicable law.
